Terms of Service
These Terms govern access to and use of StoreOPUS websites, portals, desktop applications, cloud services, and optional add-ons (together, the “Service”), provided by Inovitrix.
Effective date: 5 August 2026
1. Acceptance
By registering, downloading, activating, or using the Service you agree to these Terms and our Privacy Policy, DPDP Notice, and Refund & Cancellation Policy. If you use the Service on behalf of a business, you represent that you have authority to bind that business.
2. The Service
StoreOPUS provides offline-capable POS and store-operations software (Fashion and Retail editions), license activation, optional cloud sync/backup, billing, and optional WhatsApp Business Marketing features. Features may differ by plan, product line, and add-on entitlements.
We may modify, suspend, or discontinue features with reasonable notice where practicable. Beta or preview features are provided as-is.
3. Accounts & licenses
- You must provide accurate business contact information and keep credentials confidential.
- Licenses are issued per organization under our device / store policy for your plan. Sharing license keys outside your organization is prohibited.
- Trial access is time-limited and may exclude paid add-ons. We may refuse or revoke trials that appear abusive.
- You are responsible for staff users, roles, and activity under your organization.
4. Fees & taxes
Paid subscriptions are billed as described on the Pricing page and in-app checkout. Payments are processed by Razorpay. Merchant of record: Inovitrix. Prices may be exclusive of applicable GST or other taxes, which you are responsible for paying. Renewals (including yearly plans) continue until cancelled under the Refund & Cancellation Policy.
5. Acceptable use
You agree not to:
- Reverse engineer, resell, or sublicense the Service except as allowed by law
- Probe or disrupt our systems or other customers
- Use WhatsApp / messaging features to spam, send unlawful content, or violate Meta or applicable telecom rules
- Process personal data in the Service without a lawful basis and required notices/consents to your customers
- Misrepresent affiliation with StoreOPUS or Inovitrix
6. Merchant data & WhatsApp
You own and control data you enter into the desktop database (catalog, sales, customers, etc.). You grant us a limited license to process that data only to provide features you enable (sync, backup, WhatsApp sends, support).
Optional Marketing / WhatsApp features require a Meta Embedded Signup connection and compliance with Meta’s WhatsApp Business terms, template policies, and opt-in/opt-out rules. You are responsible for customer consent for marketing messages.
7. Intellectual property
The Service, branding, and documentation are owned by Inovitrix or its licensors. These Terms do not transfer ownership. Feedback you provide may be used to improve the Service without obligation.
8. Warranties & disclaimer
The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, especially where you rely on offline devices, local networks, Meta, or Razorpay.
9. Limitation of liability
To the maximum extent permitted by law, Inovitrix is not liable for indirect, incidental, special, consequential, or lost-profit damages, or loss of data arising from use of the Service. Our aggregate liability for claims relating to the Service in any twelve (12) month period is limited to the fees you paid us for the Service in that period (or INR 5,000 if you are on a free trial).
10. Indemnity
You will indemnify Inovitrix against claims arising from your content, your customer messaging, your breach of these Terms, or your violation of law or third-party rights (including Meta policies).
11. Suspension & termination
We may suspend or terminate access for non-payment, suspected fraud, security risk, or material breach. You may stop using the Service and request account closure via support@storeopus.com. See also Data Deletion Instructions.
12. Governing law
These Terms are governed by the laws of India. Courts in India shall have exclusive jurisdiction, subject to mandatory consumer protections that cannot be waived.
13. Changes
We may update these Terms by posting a revised version at https://storeopus.com/legal/terms. Continued use after the effective date constitutes acceptance.
